3. Intellectual Property
Unless otherwise specified in a signed agreement, all designs, content, and materials created by samsabir.com are and remain the exclusive intellectual property of CIS Web Agency.
In cases where the client provides materials (e.g., images, logos, content) for use in the project, the client acknowledges that they bear full responsibility for ensuring they hold the necessary rights or licenses for those materials. If any issues arise from third-party claims regarding the intellectual property of the client-provided materials, the client bears full legal responsibility.
4. Payments
Payment terms for our services will be detailed in the contract signed by both parties. Payment may be required in full, in parts, or after the delivery of the project, as specified in the contract. If no specific payment terms are included in the contract, payment will be due upon completion of the project.
All payments must be made within 21 days from the contract end date. Failure to meet this payment deadline may result in termination of the contract and any ongoing services. In the event of non-payment, we reserve the right to pursue legal action or hire a debt collection agency to recover unpaid fees.
5. Limitation of Liability
While we strive to provide high-quality services, samsabir.com is not responsible for any losses, damages, or costs incurred as a result of:
- Service downtime or interruptions caused by third-party providers or unforeseen circumstances.
- Issues resulting from materials provided by the client, including copyright violations or improper usage rights.
- Any indirect, incidental, or consequential damages arising out of the use of our services.
If a problem arises with the services provided, clients should contact us, and we will make reasonable efforts to resolve the issue. However, we will not offer any financial compensation or bear liability for any losses unless it is proven that we are solely and fully responsible, with no involvement of third parties or unusual circumstances.
6. Termination of Contract
samsabir.com reserves the right to terminate a contract under the following conditions:
- Non-Payment: If payment is not made by the agreed-upon deadline, or within 21 days from the contract end date, we reserve the right to terminate the contract immediately and cease all ongoing services.
- Client-Provided Materials: If the client provides incomplete, unusable, or unlawfully obtained materials (such as copyrighted materials without proper authorization), and this hinders project completion, we may terminate the contract. Any expenses or legal consequences arising from the use of such materials are the sole responsibility of the client.
Upon termination of the contract, the client remains liable for any payments due for work completed up to the point of termination.
7. Governing Law
These Terms are governed by and construed in accordance with the laws of Poland. Any disputes arising from these Terms or your use of our services will be subject to the exclusive jurisdiction of the Polish courts.
8. Modifications to the Terms
We reserve the right to update or modify these Terms at any time without prior notice. Changes will be posted on this page, and your continued use of our services after such changes are posted constitutes your acceptance of the modified Terms.
